1. Acceptance of Terms
By accessing or using CAST ("the Platform"), operated by Beltech Corp Holdings ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and the Company.
The Platform provides a marketplace for AI-generated digital talent ("AI Talent" or "Clones"), enabling producers to discover, audition, license, and use AI talent in digital productions, and enabling talent owners to list and monetize their AI clones.
2. Eligibility
You must be at least 18 years of age to use the Platform. By using CAST, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access to your account.
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we determine, in our sole discretion, that your conduct violates these Terms.
4. AI Talent and Digital Clones
4.1 Talent Owners. If you list an AI clone on the Platform ("Talent Owner"), you represent and warrant that: (a) you own or have all necessary rights, licenses, and permissions to the underlying likeness, voice, and persona data used to create the clone; (b) the clone does not infringe upon the intellectual property rights, publicity rights, or privacy rights of any third party; (c) you have obtained all necessary consents from any real person whose likeness or voice is used in the clone.
4.2 Producers. If you use AI talent in productions ("Producer"), you agree that: (a) any license granted to you is subject to the specific terms set by the Talent Owner and these Terms; (b) you will not use AI talent in any manner that is defamatory, obscene, illegal, or otherwise harmful; (c) you will comply with all applicable laws regarding the use of AI-generated content; (d) you will provide proper attribution as required by the license terms.
4.3 Prohibited Uses. AI talent may not be used for: deepfake pornography; political disinformation; impersonation or fraud; harassment or bullying; any content that violates applicable law; or any use that the Talent Owner has specifically restricted in their listing terms.
5. Licensing and Intellectual Property
5.1 License Grants. When a Producer casts AI talent, a license is generated pursuant to the terms set by the Talent Owner and the Platform's standard license framework. All licenses are non-exclusive unless otherwise specified. The license scope, duration, territory, and permitted uses are defined at the time of casting.
5.2 Platform Content. The Platform and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.3 User Content. You retain ownership of content you submit to the Platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Platform.
6. Payments and Fees
6.1 Producer Fees. Producers pay for auditions, scene generation, and talent licensing according to the pricing set by each Talent Owner and the Platform's subscription tier. All fees are stated in US dollars and are non-refundable except as required by law or as explicitly provided in our refund policy.
6.2 Talent Earnings. Talent Owners receive 80-90% of casting fees, depending on their subscription tier. Payments are processed via Stripe Connect. The Platform retains a 10-20% platform fee. Payouts are processed on a rolling basis, subject to Stripe's standard processing times and minimum payout thresholds.
6.3 Subscription Plans. Certain features require a paid subscription. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time, but no partial refunds are provided for unused portions of a subscription period.
6.4 Taxes. You are responsible for all applicable taxes associated with your use of the Platform and any payments received through the Platform.
7. Content Moderation and Enforcement
We reserve the right to review, monitor, and remove any content or AI talent listings that violate these Terms, our community guidelines, or applicable law. We may suspend or terminate accounts that repeatedly violate our policies. We are not obligated to monitor all content but may do so at our discretion.
8. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, publicity, or privacy rights; (d) any content you submit to the Platform.
10. Dispute Resolution
Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Illinois, USA. Each party shall bear its own costs in any arbitration. The arbitrator's award shall be final and binding.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.
13. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
